- Represents public and private companies including non-traded, publicly offered real estate investment trusts in various business transactions, including formation, public securities offerings, private placements, mergers and acquisitions, joint ventures, financings, strategic alliances and ongoing securities compliance.
- Regularly advises clients on corporate governance matters, reporting obligations under the Securities Exchange Act of 1934, stock exchange rules, blue sky filings and compliance with applicable regulations of the Financial Industry Regulatory Authority (FINRA).
- Drafts, negotiates, and comments on a variety of commercial contracts including asset purchase and equity purchase agreements, merger agreements, loan documentation, management contracts, consulting agreements, escrow, lease, employment and confidentiality agreements and legal opinions.
- Prepares and facilitate filing of numerous SEC forms, including registration statements in connection with equity offerings under the Securities Act of 1933.
